Abstract

Employee stock ownership plan is a company offering to employees by using stock options of the company.
This form is both social and economic in nature when the person who receives the shares will be the owner of the
business. This is considered as one of the effective tools to encourage employees to contribute equity capital to
the company, promote working capacity and closely align employees' interests with the company's growth. ,
attracting and retaining talents. However, the form of paying bonus shares also has certain limitations on both
corporate governance and the interests of shareholders. In Vietnam, the method of paying bonus shares is still in
its infancy. This article mainly uses statistical methods of experience of the previous countries, and qualitative
analysis to assess the current situation and causes of outstanding problems in this activity in Vietnam. On that
basis, the authors propose recommendations on the part of the State and enterprises to improve the efficiency of
rewarding achievements for employees by shares to contribute to improving the quality of corporate governance
and improving legal framework for this sector.
