Addressing anticompetitive behaviors in franchising activitiies: International experience and suggestions for Vietnam

Abstract

Franchise law recognizes the right of traders to enter the market, the methods of implementing their business ideas, and stipulates the rights and obligations between the parties in the process of implementing franchising activities. Meanwhile, competition law defines the boundaries on behaviors of the parties in the process of implementing commercial activities in general and in franchising in particular. It ensures that business conduct within the limits does not cause serious harm to the competition in the market. Therefore, in essence, these two legal systems have certain "conflicts" in regulating the behaviors of traders in franchising activities. The article focuses on analyzing the views on addressing anti-competitive behaviors in franchising activities in some countries such as the United States, China, Malaysia and giving recommendations for Vietnam.
