Legal provisions on duty to disclose information during commercial contract negotiations

Abstract

The article researches the obligation to provide information of the parties during the negotiation of a commercial contract with the following objectives: 1) determining the need and the extent of the law's adjustment to the obligation to provide information; 2) analyzing the provisions of current Vietnamese law on the obligation to disclose information during the negotiation of a commercial contract; 3) asserting that any party that violates the obligation to disclose information is likely to be subjected to certain sanctions. The article also points out that Vietnamese legal system initially has provisions on the obligation to provide information during the negotiation process and the legal consequences of breach of the obligation. However, there are still some limitations and inadequacies in these regulations, thereby posing a requirement for further practical research and improvement of the law.
